1. Acceptance of Terms

By accessing or using Scholar Metric (the "Platform"), operated by ShordalLabs ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to all terms and conditions, you must not access or use the Platform.

These terms constitute a legally binding agreement between you and ShordalLabs. Your continued use of the Platform following any changes to these terms constitutes acceptance of those changes.

2. Platform Description

Scholar Metric is a community-driven platform for sharing, discussing, and discovering scientific and academic content. The Platform facilitates user-generated research articles, peer discussions, and document management.

THE PLATFORM IS NOT A PEER-REVIEWED SCIENTIFIC JOURNAL AND DOES NOT CONSTITUTE, REPLACE, OR SUPPLEMENT FORMAL ACADEMIC PEER REVIEW PROCESSES.

3. Eligibility and Registration

• You must be at least 18 years old or the age of majority in your jurisdiction to create an account.
• You must provide accurate, complete, and current information during registration and maintain the accuracy of such information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You may not share your account with any other person or allow others to access your account.
• You must immediately notify us of any unauthorized use of your account or any security breach.
• We reserve the right to suspend, terminate, or refuse registration of any account at our sole discretion without notice or liability.

4. User-Generated Content

4.1 Content License Grant

By submitting, posting, or uploading content to the Platform, including but not limited to articles, comments, documents, data, and other materials ("User Content"), you grant ShordalLabs a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any media format and through any media channels.

4.2 Content Representations and Warranties

You represent and warrant that:

• You own or have all necessary rights, licenses, and permissions to submit the User Content.
• Your User Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, publicity rights, or any other rights.
• Your User Content is accurate to the best of your knowledge and does not contain fraudulent, misleading, or intentionally false information.
• Your User Content complies with all applicable laws and regulations.
• You have obtained all necessary consents and approvals for any research involving human or animal subjects described in your User Content.

4.3 Content Removal

We reserve the right to remove, modify, or refuse to publish any User Content at any time, for any reason, without notice or liability.

5. Prohibited Conduct

You agree not to:

• Submit fabricated, falsified, or plagiarized research or content.
• Misrepresent your identity, credentials, affiliations, or qualifications.
• Upload malicious code, viruses, or any harmful software.
• Attempt to gain unauthorized access to the Platform, other accounts, or systems.
• Use the Platform to harass, abuse, defame, or threaten others.
• Engage in any activity that interferes with or disrupts the Platform.
• Use automated systems, bots, or scrapers without express written permission.
• Violate any applicable laws, regulations, or third-party rights.

6. Intellectual Property

The Platform, including its design, features, software, text, graphics, logos, and all other content not submitted by users, is owned by ShordalLabs and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

Users retain ownership of their original User Content, subject to the license granted herein.

7. Disclaimer of Warranties

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected.

8. Limitation of Liability

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ShordalLabs, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees, arising from or related to: (a) your use or misuse of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your violation of any applicable laws.

10. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the United States, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
